Annual Meeting of People's Cooperative Services
Members
Under Minnesota Statutes, Section 308A, the Minnesota Cooperative Law, People's Cooperative Services was incorporated. Accordingly, the cooperative is operated on a cooperative non-profit basis for the mutual benefit of its members. The management of the cooperative and its affairs and business is vested in the Board of Directors, who are elected by mail ballot by the members. The annual meeting is held on a date and hour fixed and determined by the Board of Directors by a resolution adopted not less than 30 days prior to the date.
The purpose of the annual meeting of People's Cooperative Services is to elect directors, pass upon reports covering the previous fiscal year, and transact such other business as may come before the meeting. A quorum is required to transact the business of the meeting of the members. Not less than 50 members present in person at the meeting constitute a quorum. Each member of the cooperative holds one share of stock. This entitles the member to one vote in the affairs of the cooperative and the one vote is to be cast in person. No proxy vote is permitted. The spouse of the member may vote on behalf of the member. All elections and all questions conducted at the annual meeting are decided by a vote of a majority of members present.
The Board of Directors secretary gives notice of the annual meeting by publication in a legal newspaper published and circulated in the counties where the cooperative operates business. Such notice is to be given at least two weeks prior to the date of the annual meeting.

The order of business at the annual meeting is essentially:
- Call of the roll
- Read the notice of the meeting and proof of the due publication
- Read unapproved minutes of the previous meeting and take any necessary action
- Present, consider and act upon reports of the officers, directors and committees
- Director election results
- Unfinished business
- New business
- Adjourn
